01. The minimum required number of persons to register a company

Incorporated company

If the shareholder and the corporate representative are the same person

The company requires an independent auditor.

If the shareholder and the corporate representative are not the same person

The company does not require an independent auditor.

If the shareholder is a company

The company only requires a corporate representative.

Limited Liabilty Company

The corporation only requires one person and the shareholder can also act as the corporate representative.

  • · Individual shareholders must bring a valid photo ID or a copy of their passport
  • · If the shareholder is a domestic or foreign corporation, a business license and a copy of the passport belonging to the corporation’s legal representative is required.
  • · The legal corporate representative for Korean companies must apply for a Korean visa with the exception of those whose home countries have a visa waiver agreement with Korea.

    Registration Period
    After the fee is paid and the authentication papers are prepared, registration may be completed in under 2 weeks. However, for businesses requiring special licensing, such as those in the hotel, tourism, food, and architecture industries, the registration process will take between 1 to 4 weeks, depending on circumstances.

Establishing Foreign Branches and Liaison Offices in Korea

  • 01

    No registered capital is needed to establish foreign branches and liaison offices in Korea

  • 02

    Korea branches are able to create and sign contracts as well as conducting other business operations

  • 03

    Liaison offices are able to part-take in business communication, conduct market research, and oversee research and development. However, they are unable to part-take in any activities that directly arises profit.

Necessary Documents for Establishing a Korean Liaison Office for a China-based Company

    Mother company’s articles of association

    The minutes of board meeting of China head office, which should indicate the following :
    1) Resolution to establish a branch office or an agency
    2) Address of the branch office/ agency
    3) Name, address and ID number of the person in charge.

    Power of Attorney :
    Date of birth, and passport number of the agent must be indicated.

    The passport of the mother company’s legal representative

  • 06

    The liaison office manager’s identification, passport copy, and the business registration number

    Liaison office’s specific business description, business scope, and business plan.
